  • Directors’ Duties in Insolvency – A Landmark Case brought by Grant Thornton #GTOffshore welcomes the recent judgment of the BVI Court of Appeal in Byers v Chen Ningning (BVIHCMAP 2024/0009), which provides critical clarification on the scope of directors’ duties when a company is insolvent or approaching insolvency. The case centres on the liquidation of Pioneer Freight Futures Company Limited (PFF), once one of Asia’s largest traders in forward freight agreements (FFAs). PFF was owned by Pioneer Iron and Steel Group Company Ltd , controlled by Chen Ningning, who became the sole director by 2007. The Dispute PFF Joint liquidators Grant Thornton UK partner Mark Byers and Grant Thornton BVI Director Matthew Richardson brought claims against Chen for breach of fiduciary duty, focusing on a US$13 million transfer to Zenato Investments Ltd, an entity linked to a personal acquaintance of Chen, shortly before PFF entered provisional liquidation. Key Legal Findings The Court of Appeal confirmed that a company in liquidation can pursue claims against directors who breach the creditor interests duty, even if the payment doesn’t immediately affect the company’s financial position. It held that a loss to the general body of creditors is a loss to the company, overturning the earlier decision and aligning with the principles in the English Court of Appeal matter in West Mercia.
